Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Techfalos, LLC ("Company," "we," "us," or "our"), including the Resoundr platform available at https://resoundr.me (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Resoundr is an AI-powered social media engagement platform that helps users maintain an active and authentic presence across social media. The Service may include, but is not limited to, AI-generated content suggestions, social media account management, and analytics.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at contact@techfalos.com if you become aware of any unauthorized use of your account.

5. User Responsibilities

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of any applicable laws;
  • Post, transmit, or cause to be published any content that is abusive, threatening, defamatory, obscene, or otherwise objectionable;
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • Interfere with or disrupt the Service, servers, or networks connected to the Service;
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks;
  • Use any automated means, including bots or scrapers, to access the Service except through the interfaces we intentionally provide;
  • Violate the terms of service of any third-party platform connected through the Service.

6. AI-Generated Content

The Service uses artificial intelligence to generate content suggestions. You acknowledge and agree that:

  • AI-generated content is provided as suggestions only and should be reviewed before publication;
  • You are solely responsible for all content posted to social media platforms through the Service, including AI-generated content you choose to approve;
  • We do not guarantee the accuracy, appropriateness, or suitability of AI-generated content for any particular purpose;
  • You should review and, if necessary, edit all AI-generated content before it is published on your behalf.

7. Intellectual Property

The Service, including its original content (excluding content provided by users), features, and functionality, is and will remain the exclusive property of Techfalos, LLC and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any content you create or provide through the Service. By using the Service, you grant us a limited license to use, store, and process your content solely for the purpose of providing the Service to you.

8. Payment and Billing

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan). You authorize us to charge your designated payment method for all fees incurred.

We reserve the right to change our pricing at any time. If we change pricing for your current subscription, we will provide you with at least 30 days' notice before the change takes effect. Refunds are handled in accordance with our refund policy, available upon request at contact@techfalos.com.

9. Third-Party Services

The Service integrates with third-party social media platforms (e.g., LinkedIn, Twitter / X, Reddit). Your use of these platforms is governed by their respective terms of service and privacy policies. We are not responsible for the practices or content of any third-party services. You are solely responsible for complying with the terms of any third-party platform you connect to through the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us at contact@techfalos.com or through your account settings.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Techfalos, LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Service;
  • Any conduct or content of any third party on the Service;
  • Any content obtained from the Service, including AI-generated content;
  • Unauthorized access, use, or alteration of your transmissions or content.

Our total liability to you for all claims arising out of or relating to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Techfalos, LLC does not warrant that the Service will be uninterrupted, timely, secure, or error-free.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of MD, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Anne Arundel, MD, and you consent to personal jurisdiction and venue therein.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect (e.g., via email or a notice on the Service). Your continued use of the Service after any changes constitutes acceptance of the new Terms.
